Authorization to Act as Agent
By providing your carrier account credentials (e.g., FedEx/UPS username and password), you explicitly authorize CloseMachine to access your carrier accounts on your behalf for the sole purpose of auditing invoices, identifying service failures, and filing claims for refunds. You represent and warrant that you have the authority to grant such access.
Data Security & Privacy
We prioritize the security of your data. Your credentials are encrypted using industry-standard protocols and are never shared with third parties, advertisers, or other entities. We access your account solely to perform the audit services described. Your shipping history and invoice data are kept strictly confidential.
Fees and Payment
You agree to pay CloseMachine a performance fee calculated as a percentage of the actual refunds delivered to your carrier account. The specific percentage rate is determined by your Shipping Volume Tier selected during onboarding or in your account settings. CloseMachine will invoice you for this fee only after the credits have been verified on your carrier invoice. Payments are processed automatically via the payment method on file.
Carrier Contract Waivers
You acknowledge that refunds and credits are subject to the terms and conditions of your specific carrier agreement. If you have signed a Money-Back Guarantee (MBG) waiver or Guaranteed Service Refund (GSR) waiver with your carrier that limits or removes your right to claim refunds for late deliveries, CloseMachine cannot recover funds for those specific failures. CloseMachine is not liable for missed refunds resulting from such pre-existing contractual waivers.
Termination
You may cancel your use of CloseMachine at any time by disabling the service in your dashboard or contacting support. Upon cancellation, no further audits will be performed, but you remain responsible for fees on any refunds processed or secured prior to the effective date of cancellation.
Limitation of Liability
CloseMachine acts diligently to protect your account. However, we are not liable for any changes to account settings, configurations, or service preferences that may occur during the audit process. CloseMachine provides its services "as is" and does not guarantee specific refund amounts.
